Something About Rocks Ltd (the “Publisher”), a company registered in England and Wales (registered office at Old Station Road, Loughton, IG10 4PL), sets out the terms and conditions under which advertisements may be placed in its print magazine(s), digital editions, and on its website.

These Terms and Conditions apply to all advertising ordered from the Publisher in respect of print and digital media (collectively referred to as “Advertisements”). By placing an order for advertising, the Advertiser agrees to be bound by these Terms in full.

Definitions and Interpretation

“Advertiser” means the person or entity placing the order for an Advertisement, whether on their own behalf or as an agent for a product or service owner. If an advertising agency or media buyer places the order, it represents and warrants that it has full authority from the advertiser to do so.

“Publisher” means Something About Rocks Ltd, as defined above.
“Advertisement” means any promotional material (text, artwork, graphics, audio, video, or other media) submitted by the Advertiser for placement in the Publisher’s print or digital publications, or on its website.

“Rate Card” refers to the Publisher’s current schedule of advertising rates and charges for print and digital media. Any special rates or discounts must be agreed in writing in advance.

“Copy Deadline” means the date by which final Advertisement materials must be submitted for a specific issue. The Publisher will notify the Advertiser of applicable copy deadlines for each issue or campaign.

Acceptance of Advertising Orders

All Advertisement orders are subject to acceptance by the Publisher in its sole discretion. The Publisher may decline or cancel any Advertisement at any time, for any reason, without incurring any liability to the Advertiser (other than any obligation to refund sums actually received and note that the Publisher’s refund policy does not provide refunds as set out in Cancellation & Refunds below).

Placing an order (electronically, by email, or otherwise) or submitting Advertisement materials constitutes acceptance of these Terms. The Advertiser (or its agent) agrees to be fully responsible for payment of all charges in accordance with these Terms, even if the Advertisement itself does not ultimately appear.

Advertisements must comply with all applicable laws, regulations, and industry codes. The Publisher reserves the right to refuse or remove any Advertisement that it considers unlawful, defamatory, obscene, misleading, or otherwise unsuitable.

Rates, Charges and Payment Terms

Advertising rates and other charges are as set out in the Publisher’s Rate Card, which may be updated from time to time. Any special rates or discounts must be agreed in writing in advance. All rates are exclusive of VAT (which will be added where applicable) and of any other taxes or duties.

Invoices will be issued to the Advertiser after publication of the relevant Advertisement:

Print Advertisements: The Publisher will invoice the Advertiser upon publication of the relevant issue of the magazine. Payment is due within 30 days after the publication date of that issue.

Digital Advertisements: The Publisher will invoice the Advertiser upon commencement of the campaign or publication of the relevant digital placement. Payment is due within 30 days of the date the Advertisement first appears.

Unless otherwise agreed in writing, all payments shall be made in UK pounds sterling by cleared funds to the account specified by the Publisher. Late payments may incur interest at a rate of 4% above the Bank of England base rate, calculated from the date due until payment in full is received, and the Publisher reserves all rights to suspend or withhold Advertisement delivery until payment is made.

The Publisher reserves the right to require full or partial payment in advance of publication for any Advertiser at its discretion. No deduction or set-off may be made against any payment unless expressly agreed in writing by the Publisher.

Advertiser Content Warranty and Indemnity

The Advertiser is solely responsible for the content of any Advertisement it supplies.

The Advertiser warrants that the Advertisement complies with all applicable legal requirements, including consumer protection and advertising codes, and does not infringe any third-party intellectual property or publicity rights.

The Publisher makes no representation or warranty as to the effectiveness or results of any Advertisement.

The Advertiser shall indemnify, defend and hold the Publisher harmless from and against any and all claims, liabilities, damages, costs or expenses (including reasonable legal fees) arising out of or related to: (a) the content of the Advertisement; (b) any breach of these Terms by the Advertiser; or (c) any violation of applicable law or rights by the Advertisement.

Print Advertising

Copy Deadlines and Materials

The Advertiser must submit all print Advertisement materials (final artwork, copy, files, etc.) in the format and resolution specified by the Publisher. These materials must be received by the Publisher by the applicable copy deadline for the issue. If final materials are not delivered by the copy deadline, the Publisher may cancel the Advertisement and the Advertiser will be liable for payment as if the Advertisement had run.

The Publisher will provide detailed specifications for print Advertisement formats. The Advertiser is responsible for ensuring materials meet these specifications and must allow sufficient time for proofing and revisions.

Placement and Positioning

Advertisers may request specific sections, pages, or positions (for example, a particular page number or feature section) for their print Advertisements. Such placements are allocated in the order that confirmed bookings are received, subject to availability.

Requests should be made at the time of booking, and the Publisher cannot guarantee any particular placement unless confirmed in writing.

Cover positions (such as back cover, inside covers, etc.) may be available at premium rates. Requests for cover positions must be confirmed in writing.

The Publisher reserves the right to reassign or cancel cover position requests if necessary (see below).

Cancellation

The Advertiser may cancel a confirmed print Advertisement by providing written notice to the Publisher, subject to the following notice periods (based on the copy deadline for the issue in which the Advertisement was booked):

Cover Advertisements (front/back/inside covers): Cancellation notice must be given at least 120 days prior to the copy deadline. Cancellations received less than 120 days before the copy deadline will be treated as late cancellations and the Advertiser will remain liable for the full charge.

Regular Advertisements (any position other than covers): Cancellation notice must be given at least 30 days prior to the copy deadline. Cancellations within 30 days of the copy deadline will not be accepted and the Advertiser will remain liable for the full charge for that Advertisement.

All cancellation notices must be submitted in writing (for example, by email) and should reference the issue date and Advertisement booking details. In all cases, the Advertiser is responsible for payment of the Advertisement charges. No refunds or credits will be issued for cancellations after the applicable deadline as set out above.

Digital Advertising

Digital Advertising includes any advertisements placed on the Publisher’s website, digital editions of the magazine, social media accounts managed by the Publisher (if applicable), or any other digital platforms owned or operated by the Publisher.

Advertisers must provide digital Advertisement materials (e.g., banner images, video files, HTML5 creative) in the format and specifications required by the Publisher and must be submitted by the deadlines specified at the time of booking. The Publisher will provide technical specifications for each digital format.

Placement: Specific placement on a webpage (e.g., homepage vs. article pages) may be requested but is subject to availability and layout. The Publisher will allocate positions subject to availability but does not guarantee any particular number of impressions or views unless otherwise agreed in writing.

Campaign Period: Digital campaigns must have a defined start and end date. If an Advertiser wishes to cancel a digital campaign before it starts, written notice must be given at least 14 days before the scheduled start date. Cancellations made less than 14 days before the start date or after the campaign has begun will result in the full campaign charge being payable.

Rates: Digital advertising rates are as stated in the Rate Card or as agreed in writing. All digital advertising fees are payable on the same basis as set out in Section 3 (Payment Terms).

Data and Measurement: The Publisher may provide basic performance reporting (such as impressions, clicks, or views) for digital Advertisements where available, but does not warrant the accuracy of third-party ad servers or metrics.

The Publisher does not guarantee specific results (such as click-throughs or conversions) from digital campaigns.

Cancellation and Refunds

Except as provided above for acceptable cancellation notice, all booking cancellations are subject to the full applicable charge. All advertising charges are non-refundable. Once the cancellation deadlines stated above have passed, or once an Advertisement has been published or a digital campaign has started, no refunds or credits will be given under any circumstances.

In the event that the Publisher fails to publish an Advertisement through no fault of the Advertiser, the Publisher’s sole obligation is to re-run the Advertisement in a later issue or placement at no additional charge (subject to space availability).

Under no circumstances will the Publisher be obligated to refund any fees paid.

Liability and Limitation of Liability

The Publisher shall exercise reasonable care to meet the scheduled publishing dates and campaign runs but cannot guarantee delivery on any specific date.

Delivery schedules may change, and the Publisher will not be liable for any claims, damages, or losses arising from such changes.

The Publisher is not responsible for any errors in an Advertisement that are due to the Advertiser’s instructions or failure to supply correct materials.

If an error in a published Advertisement is solely the Publisher’s fault, the Advertiser’s sole remedy is for the Publisher to correct the Advertisement in a future issue or placement at no charge.

In no event will the Publisher be liable for any indirect, incidental, consequential or special damages (including loss of profit, business, or data) arising out of or in connection with these Terms or any Advertisement, whether or not the Publisher was advised of the possibility of such damages.

The Publisher’s total liability for any claim relating to an Advertisement will not exceed the amount paid by the Advertiser for that Advertisement.

Governing Law

These Terms and Conditions and any agreements formed under them shall be governed by and construed in accordance with the laws of England and Wales.

The parties submit to the exclusive jurisdiction of the courts of England and Wales in respect of any dispute arising out of or in connection with these Terms.

Miscellaneous

The headings in these Terms are for convenience only and do not affect their interpretation.

No variation of these Terms will be valid unless agreed in writing by the Publisher.

The Publisher reserves the right to update or amend these Terms and Conditions at any time; any such changes will apply to all Advertisement orders accepted after the date of the change.
